Terms and Conditions of Service for Offimo

Offimo ("Company," "we," "us," or "our") operates the Offimo mobile application ("App") and the website at offimo.app ("Website"). These Terms and Conditions of Service ("Terms") govern your access to and use of the App, Website, and related services (collectively, the "Service"). By accessing or using any part of the Service, you represent that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you do not agree, you are not authorized to use the Service.

NOTICE: These Terms include a mandatory arbitration provision that requires individual arbitration for disputes seeking monetary relief in certain circumstances, rather than jury trials or class actions.

1. Description of the Service

The App helps users develop healthier digital habits by creating intentional pauses before opening selected applications. Offimo provides a moment of awareness between the urge to open an app and the action itself, helping users make conscious decisions about their screen time. The Service may include personalized settings, usage insights, and notification features. Offimo may update, change, suspend, improve, or discontinue any aspect of the Service at any time, in its sole discretion, with or without notice.

2. Eligibility

  • You must be at least 13 years old to use the Service. If you are under 16, you must obtain verifiable parental consent, per EU GDPR and UK GDPR, before using the Service. Contact us at support@offimo.app to provide consent or request account deletion. The Service is not intended for users under 13. Users under 13 may not register or use the Service.
  • You represent that you are not: (a) located in a country subject to comprehensive U.S. economic sanctions (e.g., an embargo); (b) listed on the U.S. Treasury Department's List of Specially Designated Nationals; or (c) otherwise subject to U.S. sanctions.
  • You must have the legal capacity to enter into a binding agreement.
  • You comply with these Terms and all applicable local, national, and international laws, including those in your jurisdiction.
  • Offimo reserves the right to request proof of parental consent for users under 16 at any time.

3. Registration

To use certain features of the App, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information as requested.
  • Maintain the confidentiality of your account credentials and not share them with others.
  • Promptly update registration information to keep it accurate.
  • Be responsible for all activities under your account.
  • Notify Offimo immediately of any unauthorized use of your account.

Offimo reserves the right to suspend or terminate your account if you provide false information, violate these Terms, or for any other reason at our discretion.

4. App Functionality

4.1 Pause and Awareness Features

The App encourages healthier digital habits by creating intentional pauses before you open selected applications. This pause provides a moment of awareness, allowing you to make a conscious decision about whether to proceed. The App does not block or restrict access to any applications; it simply introduces a brief intervention to help you notice your impulses.

4.2 Health and Wellness Disclaimer

Offimo is a productivity and wellness tool designed to help users develop healthier digital habits. The Service is not a medical or health application or device and does not provide any health-related advice, diagnosis, treatment, or monitoring. The App is intended for general self-improvement and habit-building purposes only.

No part of the Service should be considered medical, psychological, or therapeutic advice. Always consult qualified professionals for any health or mental wellness concerns. You are solely responsible for any decisions or actions based on your use of the App.

5. Subscriptions and In-App Purchases

The App may offer paid subscription plans or one-time purchases. We may offer:

  • Weekly Subscription: Auto-renews weekly unless canceled.
  • Monthly Subscription: Auto-renews monthly unless canceled.
  • Yearly Subscription: Auto-renews annually unless canceled.
  • Lifetime Offer: One-time In-App Purchase that grants lifetime access to premium features.

5.1 Automatic Renewal

Subscriptions are processed via the Apple App Store or Google Play Store and auto-renew at the end of each billing period unless canceled at least 24 hours before renewal. To cancel or change your subscription, manage your settings in the respective app store. Deleting your account does not cancel your subscription.

5.2 Payment Processing

All payments are processed through the Apple App Store or Google Play Store, and you agree to comply with their respective terms of service and payment policies. Offimo is not responsible for payment disputes, refunds, or issues handled by Apple or Google. To cancel your subscription, you must do so through your app store account settings at least 24 hours before the renewal date to avoid the next billing cycle.

5.3 Fees and Taxes

You agree to pay all fees and applicable taxes incurred via your account. Offimo may revise pricing at any time. All payment information provided to the app stores must be accurate and current. You are responsible for charges incurred via your payment method.

5.4 Refunds

Refunds are subject to Apple's and Google's refund policies. Offimo does not process refunds directly but will cooperate with the app stores to resolve any issues. Contact Apple or Google for app store-related refund requests. For UK users, your statutory rights under the Consumer Rights Act 2015 are not affected.

6. Acceptable Use

You are responsible for your use of the Service and must comply with applicable laws. You may not:

  • Use the Service for unlawful purposes.
  • Attempt to reverse-engineer, decompile, or hack the App.
  • Use the Service in a way that harms Offimo or other users.
  • Circumvent any security measures or access restrictions.
  • Use automated systems or bots to access the Service.

7. Privacy and Data Protection

Your privacy is important to us. Offimo collects limited personal data necessary to provide the Service. We prioritize keeping your data on your device whenever possible. For details on what data we collect and how we use it, please review our Privacy Policy.

  • Data Collected: We may collect your email address (for account creation), app preferences, and anonymized usage analytics to improve the Service. We do not sell your personal information.
  • Local Storage: Most of your settings and preferences are stored locally on your device. We minimize data transmission to our servers.
  • Analytics: We may use anonymized analytics to understand how users interact with the App and to improve our Service.

8. Third-Party Services

The Service may use or integrate with third-party services, including:

  • Apple / Apple App Store for payment processing and potentially Sign in with Apple (see Apple's terms and privacy policy).
  • Google / Google Play Store for payment processing on Android devices (see Google's terms and privacy policy).
  • Analytics Services for anonymized usage analytics to improve the Service.

Offimo is not responsible for the operation, terms, or privacy practices of these third-party services. Your use of these services is subject to their respective terms and policies.

9. License to the App

Offimo grants you a non-transferable, non-exclusive license to download and use the App on a device you own or control, subject to these Terms. You may not:

  • Derive or attempt to derive the App's source code.
  • Reverse-engineer, decompile, or disassemble the App.
  • Transfer the App to third parties.
  • Modify, adapt, or create derivative works based on the App.

For Apple App Store users: These Terms are between you and Offimo, not Apple. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support. Apple is a third-party beneficiary of these Terms and may enforce them against you.

10. Intellectual Property

All Service content (e.g., designs, text, software, graphics, logos) is owned by Offimo or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, distribute, or reproduce Service content except as permitted by these Terms or with our express written permission.

11. Copyright Infringement

If you believe content in the Service infringes your copyright, notify us per the U.S. Digital Millennium Copyright Act (DMCA) at support@offimo.app, including:

  • Your signature.
  • Description of the copyrighted work.
  • Location of the infringing material.
  • Your contact details.
  • A statement of good faith, belief and accuracy.

Counter-notices may be submitted if you believe content was wrongly removed. Contact us for details.

12. No Warranties

The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Offimo does not guarantee accuracy, availability, or error-free operation. Some jurisdictions (e.g., EU, UK) do not allow certain warranty exclusions, so these limitations may not apply to you.

13. Limitation of Liability

To the maximum extent permitted by law, Offimo is not liable for indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of data, profits, or business interruption. Our total liability is limited to the amount you paid for the Service in the 12 months prior to the claim. This limitation does not apply where prohibited (e.g., EU/UK consumer laws).

14. Indemnification

You agree to indemnify and hold harmless Offimo, its officers, employees, and affiliates from any claims, losses, or damages (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

15. Termination

Offimo may terminate your access to the Service at any time for any reason. You may terminate your account by following in-app instructions or by contacting us at support@offimo.app. Sections 6, 9, 10, 11, 12, 13, 14, 18, 19, 20, 21, and 22 survive termination.

16. EU/UK Consumer Protections

  • EU: Per Directive 2011/83/EU, EU users have a 14-day right to withdraw from digital subscriptions, unless you expressly consent to immediate access and waive this right during onboarding.
  • UK: Per the Consumer Rights Act 2015, UK users have similar withdrawal rights. You may also contact the UK's Citizens Advice for disputes.

17. California Residents

Per Cal. Civ. Code § 1789.3, California users may contact the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or (800) 952-5210.

If you are a California resident, you have certain rights under the CCPA, including the right to access, delete, or opt out of the sale of your personal information. Offimo does not sell your personal information. See our Privacy Policy for details on exercising your rights. To exercise your CCPA rights (e.g., access, deletion), contact support@offimo.app.

18. Governing Law

These Terms are governed by the laws of the jurisdiction in which Offimo is incorporated, excluding conflict of law provisions, regardless of your location. For EU/UK users, mandatory consumer protection laws in your country may apply.

19. Jurisdiction

Subject to Section 18, disputes arising from these Terms will be resolved in the courts of the jurisdiction in which Offimo is incorporated. Both parties consent to the jurisdiction of these courts.

20. Dispute Resolution and Arbitration

For disputes seeking monetary relief, you agree to resolve claims through binding individual arbitration, except as provided below:

  • Notice: The claimant must send a written Notice of Claim to support@offimo.app, including name, contact details, claim basis, and relief sought.
  • Settlement Conference: Within 30 days, parties must hold a good-faith settlement conference via phone or video. Individuals must attend personally; entities must send an authorized representative.
  • Arbitration Process: If no settlement is reached, arbitration will be conducted by a single arbitrator under applicable arbitration rules, in English.
  • Small Claims: Claims within small claims court jurisdiction may be filed there instead.
  • Opt-Out: Individuals may opt out of arbitration by emailing support@offimo.app within 30 days of first using the Service.
  • Injunctive Relief: Either party may seek non-monetary relief (e.g., injunctions) in court without arbitration.

21. Language

These Terms were written in English. If translated, the English version controls.

22. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Offimo regarding the App.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Offimo's failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
  • Assignment: Offimo may assign these Terms or any rights hereunder without your consent. You may not assign these Terms without our prior written consent.
  • Consumer Rights: Nothing in these Terms affects your statutory rights as a consumer, including under EU Directive 2011/83/EU, the UK Consumer Rights Act 2015, or applicable US state laws.
  • Force Majeure: Offimo is not liable for failure to perform due to events beyond its control, including natural disasters, cyberattacks, third-party service outages, or government actions.

These Terms bind and benefit both parties and their successors.

23. Updates to Terms and Privacy Policy

Offimo may update these Terms or the Privacy Policy at any time to reflect changes in our Service, legal requirements, or for other reasons. Updated versions will be posted on our website at least 7 days before taking effect, unless required sooner by law. For material changes affecting your rights or obligations, we may provide additional notice (e.g., via email or in-app alert) where required by law. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms or Privacy Policy. If you do not agree to the updated Terms, you must stop using the Service.
